1. Definitions
“SecureSMTP,” “we,” “us” — Technologia FZE, registered in Sharjah Research, Technology and Innovation Park (SRTIP), Sharjah, United Arab Emirates.
“Service” — the SecureSMTP web application, API, WordPress plugin, and related infrastructure accessible at securessmtp.com.
“Customer,” “you” — the individual or entity that creates an Account and uses the Service.
“Customer Content” — emails, form submissions, and other data you transmit through or store on the Service.
“Subscription” — a paid plan purchased through Stripe Checkout.
2. Account
You must be at least 18 and capable of forming a binding contract. You are responsible for the security of your credentials and all activity under your Account.
You must provide accurate, current information at signup and keep it updated.
One person per Account. Sharing credentials is prohibited.
3. Acceptable use
Your use of the Service is governed by our Acceptable Use Policy (AUP), which is incorporated into these Terms by reference. Violation of the AUP is a material breach of these Terms.
4. Subscription & billing
Subscriptions renew automatically at the start of each billing period unless cancelled. Fees are charged in US Dollars via Stripe.
Applicable taxes (UAE VAT or your local equivalent) are added at checkout.
Cancellation takes effect at the end of the current billing period. Refunds are governed by our Refund Policy.
Failure to pay may result in suspension or termination of service.
5. Free trial
We may offer a 14-day free trial on paid plans. No credit card is required. Trials are one per user and may be limited or withdrawn at our discretion. At the end of the trial, your Account reverts to the Free plan unless you subscribe.
6. Service changes
We continuously improve the Service. We may add, change, or remove features. Material reductions in functionality on a paid plan will be announced at least 30 days in advance.
We may discontinue the Service entirely with 90 days’ notice. In that case, prepaid annual fees for unused periods are refunded pro-rata.
7. Customer content
You retain all ownership rights in Customer Content. You grant us a limited, worldwide, royalty-free license to host, process, transmit, scan for abuse, and deliver Customer Content solely to provide the Service.
You are solely responsible for Customer Content and for ensuring you have all consents and licenses necessary to transmit it.
8. Intellectual property
The Service, including its software, branding, and documentation, is the property of Technologia FZE and its licensors. We grant you a non-exclusive, non-transferable license to use the Service as permitted by these Terms.
You may not reverse-engineer, decompile, or attempt to extract source code from the Service.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant uninterrupted, error-free, or perfectly secure operation.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD 100, OR (B) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.
These limits do not apply to liability that cannot be excluded under applicable law (including liability for gross negligence, willful misconduct, or fraud).
11. Indemnification
You will defend and indemnify SecureSMTP against third-party claims arising from (a) your Customer Content, (b) your violation of the AUP or applicable law, or (c) your misuse of the Service.
We will defend and indemnify you against third-party claims that the Service, as provided by us and used per these Terms, infringes that third party’s intellectual property rights.
12. Termination
You may cancel your subscription at any time from the billing dashboard. We may suspend or terminate your Account for material breach of these Terms or the AUP, with reasonable notice when the situation permits. For egregious violations (active phishing, malware distribution, illegal content) we may terminate immediately.
Upon termination, we retain your Customer Content for 30 days, then delete it. You may export your data before that window via support@securessmtp.com.
13. Governing law & dispute resolution
These Terms are governed by the federal law of the United Arab Emirates. The SRTIP free zone is a federal-law free zone (not DIFC/ADGM).
Disputes arising out of these Terms will be resolved, at the claimant’s choice, either (a) in the courts of Sharjah, United Arab Emirates, or (b) by binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC) seated in Dubai, conducted in English by a single arbitrator.
14. Miscellaneous
Changes to these Terms. We may update these Terms with at least 30 days’ notice via email or in-product notice. Continued use after the effective date constitutes acceptance.
Severability. If any provision is unenforceable, the remainder stays in effect.
Entire agreement. These Terms (with the AUP, Privacy Policy, DPA where applicable, and Refund Policy) are the entire agreement between you and SecureSMTP regarding the Service.
No waiver. Failure to enforce a right is not a waiver.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
